Once you make an offer, the seller will consider it, often with our guidance on structure and terms. If the offer is acceptable in principle, heads of terms will be agreed setting out the key terms of the deal. You will then appoint a solicitor to handle the legal process, and due diligence will begin. Due diligence typically takes four to eight weeks. On completion, the business transfers to you along with the agreed assets, staff under TUPE, and any other included elements.
